Amicas acquiring Emageon for about $39 million

BOSTON (AP) — Amicas Inc. says it has agreed to acquire Emageon Inc. for about $39 million.

Amicas, which makes radiology, medical-imaging and information-management products, says in a statement released Monday that its subsidiary will offer to buy outstanding shares of Emageon common stock for $1.82 each in cash, for a total of about $39 million.

Boston-based Amicas says the board of directors of Birmingham, Ala.-based Emageon has unanimously recommended that shareholders tender their shares in the offer.

Amicas says its acquisition of the provider of medical information technology systems will create a leading health care IT vendor.

Emageon President and Chief Executive Officer Chuck Jett says the merger will benefit both companies.
